1 — Introduction and Acceptance
Overview. Ovanova designs, manufactures, and delivers distributed energy solutions that combine solar power, battery storage, smart controls, bidirectional EV charging, and intelligent software. Our offerings include custom residential and commercial microgrids, Portable Energy Technology (PET) units, the GridGuardian AI platform, National Energy Resilience Device (NERD) hardware, and advisory services for municipal utilities. We also maintain investor‑relations pages and educational content about clean energy.
Scope. These Terms govern your access to and use of Ovanova’s websites (including www.ovanova.co and associated subdomains), mobile applications, online scheduling and reservation systems, products, software, design consultations, engineering services, investment materials, and customer support (collectively, the “Services”). Specific purchase agreements, installation contracts, warranties, rental agreements, service subscriptions, investment documents, and other written contracts (together, “Product‑Specific Agreements”) may supplement or supersede portions of these Terms for particular offerings.
Acceptance. By visiting our websites, requesting a consultation, reserving or purchasing a product, renting a PET, subscribing to a software service, investing through one of our offerings, or otherwise using the Services, you acknowledge that you have read and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
2 — Eligibility and User Obligations

Eligibility. You must be at least eighteen (18) years old and legally competent to enter into contracts to use the Services. By using the Services, you represent and warrant that (a) you meet these age and capacity requirements; (b) any information you provide to us is true, accurate, and complete; and (c) you will update your information as needed.

Responsible Use. You agree to use the Services only for lawful purposes, consistent with these Terms and any applicable Product‑Specific Agreements. You will not use Ovanova products or software to interfere with the operation of electric grids, cause harm to others, or violate any law or regulation.

Account Security. If you create an account or receive login credentials to access any software, scheduling portal, or customer dashboard, you are responsible for maintaining the confidentiality of your credentials and for all activities conducted using those credentials. Notify us promptly of any unauthorized access.

Prohibited Conduct. You may not (a) impersonate any person or entity; (b) access or tamper with non‑public areas of our systems; (c) introduce viruses, malware, or other harmful code; (d) reverse‑engineer, decompile, or circumvent security protections in our software or hardware; (e) resell or sublicense our software without written permission; or (f) use our Services for illegal or unethical purposes, such as operating unlicensed electrical work or interfering with critical infrastructure.
3 — Services and Product Information
Ovanova offers a range of products and services designed to enhance energy resilience, efficiency, and independence. Summaries are provided below; detailed specifications, performance estimates, warranty terms, and pricing are provided in Product‑Specific Agreements or proposals.
3.1 Microgrid Design and Installation
Ovanova designs, installs, and commissions solar‑plus‑storage microgrid systems for homes, farms, and businesses. Each system typically includes photovoltaic panels, battery storage, load management controls, optional bidirectional EV charging, and integration with the utility grid. Our design process begins with a consultation and site assessment. We assist customers in navigating incentives (such as grants, tax credits, or carbon credits) and provide long‑term support through remote monitoring and maintenance services. Equipment warranties and performance guarantees are outlined in the installation contract. Some projects may require progress payments or deposits, and financing options may be available through third parties.
3.2 Commercial and Industrial Microgrids
For enterprises and industrial clients, Ovanova designs private microgrids that integrate solar power, battery storage, and intelligent controls. These systems are intended to sustain operations during grid outages, reduce demand charges through peak shaving and load shifting, and participate in virtual power‑plant programs when available. Commercial microgrids are customized to site‑specific loads, regulatory requirements, and operational priorities. Installation timelines, commissioning requirements, and ongoing service terms are defined in individual contracts.
3.3 Portable Energy Technology (PET)
PET is Ovanova’s mobile microgrid platform. A PET unit consists of a trailer or skid with solar panels, battery storage, inverter/charger, bidirectional EV charging, and a backup bi‑fuel generator. PETs are designed for disaster response, construction sites, events, and grid‑support applications. Customers may purchase PET units or rent them for specific periods. A refundable security deposit may be required for rentals to cover potential damage or excessive wear. Deposits for purchases secure a place in the production queue and are applied toward the purchase price. PET pricing, lead times, and warranty terms are provided in the relevant purchase or rental agreement.
3.4 GridGuardian AI and NERD Hardware
GridGuardian AI is a secure orchestration platform that manages distributed energy resources in real time. It uses machine‑learning forecasts, model‑predictive control, and consensus‑based dispatch to coordinate solar, battery, generator, and EV assets across multiple sites. The platform includes cybersecurity features such as zero‑trust architecture, encrypted communications, and intrusion detection. The National Energy Resilience Device (NERD) is an advanced hybrid inverter/charger hardware module employing graphene supercapacitor technology. Together, GridGuardian AI and NERD hardware are intended enable utilities and customers to build intelligent, resilient energy systems. Access to GridGuardian AI may require a subscription, software licence, end‑user licence agreement (EULA), or data‑sharing arrangement.
3.5 Power Towns and Utility Services
Through the Power Towns initiative, Ovanova collaborates with municipal utilities, rural electric cooperatives, and community energy providers to assess infrastructure, identify resilience gaps, and design strategies for peak shaving, load shifting, grid‑infrastructure deferral, EV and vehicle‑to‑grid (V2G) integration, and reliability‑metric improvement. Ovanova emphasizes knowledge transfer by equipping in‑house teams to apply for grants and incentives, manage resilience assets, and integrate new technologies. Advisory services are governed by consulting agreements that define scope, deliverables, fees, and intellectual‑property rights.
3.6 Contractor Partner Program
Ovanova may offer programs for licensed electrical contractors, builders, and other professionals to become installation partners or resellers of our products. Participation requires meeting qualification criteria, signing partner agreements, adhering to our safety and quality standards, and maintaining required licences and insurance.
3.7 Investment Information
Some pages on the Ovanova website describe investment opportunities or link to platforms (e.g., WeFunder) where qualified investors may invest in Ovanova or its affiliates. Such information is for informational purposes only and does not constitute an offer to sell or a solicitation of an offer to buy securities. Any investment decision should be based solely on formal offering documents and should be made in consultation with legal, tax, and financial advisors. Investments in early‑stage companies carry substantial risk and may not be appropriate for all investors.
3.8 Third‑Party Services and Links
Our websites and communications may contain links to third‑party services (such as scheduling tools, financing providers, or government sites). Ovanova is not responsible for the content, availability, or privacy practices of these third‑party services. Your use of such services is subject to the third party’s own terms and policies.
4 — Payments, Pricing, and Refunds

Pricing and Quotes. All pricing information is provided through written proposals, online price calculators, or Product‑Specific Agreements. Prices are subject to change until a binding agreement is executed. Quotes typically specify equipment costs, installation labour, permit fees, taxes, and optional services such as extended warranties or software subscriptions. Unless otherwise stated, travel and accommodation expenses for on‑site work are not included and will be invoiced separately.

Deposits and Prepayments.

Microgrid Projects. Design consultations may require a nominal fee or deposit that is credited toward the project if you proceed. Installation agreements may require a deposit or progress payments to cover engineering, permitting, and equipment procurement. Deposits become non‑refundable once work has begun or materials have been ordered, except as provided in the specific contract.

PET Purchases. To reserve a PET, you must pay a non‑refundable deposit (currently $1,000) that secures your position in the production queue. This deposit is applied to the purchase price. The remaining balance is due when your PET enters production. Once final payment is made and production begins, the sale is final and cannot be cancelled.

PET Rentals. Rental agreements require payment of the rental fee (typically per day, week, or month) and may require a refundable security deposit. The security deposit is held to cover potential damage, loss, or excessive wear. It will be returned after the PET is returned in good condition, less any repair or cleaning costs.

Software Subscriptions and Consulting Fees. GridGuardian AI subscriptions, Power Towns assessments, or other consulting services may require upfront payments, retainers, or milestone payments as specified in the relevant agreement.

Payment Terms. By providing a payment method, you authorise Ovanova to charge all amounts due. You agree to pay invoices according to the due dates specified. Late payments may incur interest, penalties, or suspension of Services. We reserve the right to employ collection agencies and recover reasonable costs associated with delinquent accounts.

Refunds and Cancellations.

Microgrid Projects. If you cancel a project before work begins, any design deposit may be refunded less costs incurred (e.g., site assessments, engineering). Once equipment has been ordered or installation has started, deposits become non‑refundable. If Ovanova determines that a project is not feasible due to site conditions or permitting issues, we may cancel the project and return your deposit, less costs incurred.

PET Purchases. Reservation deposits for PET units are non‑refundable. After full payment and the start of production, sales are final. Because each PET is custom‑built, returns and cancellations are not accepted. If the delivered PET does not conform to material specifications in the purchase agreement, we may, at our discretion, offer repairs or replacement.

PET Rentals. Rental cancellations made with sufficient advance notice (as defined in the rental agreement) may be eligible for a full refund of the rental fee and security deposit. Cancellations with shorter notice may incur a cancellation fee. Security deposits are refunded after inspection of the returned PET. Rental agreements may specify cleaning fees, fuel charges, or additional costs for damaged components.

Software Subscriptions and Consulting. Refund policies for software licences, data services, or consulting retainers will be stated in the applicable agreement. Generally, prepaid fees are non‑refundable once services have been delivered or access to software has been provided.

Other Products and Services. Additional products (such as NERD modules or accessory kits) and promotional services may include separate refund or return policies outlined at the time of sale.

5 — Intellectual Property

Ownership. All content, trademarks, logos, software code, documentation, product designs, and other materials provided through the Services are the property of Ovanova or its licensors and are protected by U.S. and international intellectual‑property laws.

Limited Licence. Subject to these Terms, Ovanova grants you a non‑exclusive, non‑transferable, revocable licence to access and use the Services for your personal or internal business purposes. You may not copy, modify, distribute, perform, or display our materials without written permission. If you purchase or subscribe to software (e.g., GridGuardian AI), your use of that software is governed by the applicable EULA.

User Content. If you submit feedback, testimonials, reviews, or other content (“User Content”), you grant Ovanova a worldwide, perpetual, royalty‑free licence to use, reproduce, modify, adapt, publish, and display that User Content for marketing, development, and business purposes. You represent that you have all rights necessary to grant this licence.
6 — Warranties, Disclaimers, and Limitation of Liability

Product Warranties. Specific warranty terms (e.g., equipment warranty periods, performance guarantees, and service levels) are defined in Product‑Specific Agreements. For example, solar modules and batteries may carry manufacturer warranties, while Ovanova may offer workmanship warranties and optional extended coverage. To obtain warranty service, you must follow care and maintenance requirements set out in the relevant agreement.

No Other Warranties. Except as expressly provided in a Product‑Specific Agreement, the Services are provided “as is” and “as available” without any express or implied warranties, including implied warranties of merchantability, fitness for a particular purpose, or non‑infringement. Ovanova does not guarantee that our products or software will operate without interruption, errors, or security vulnerabilities. Performance estimates (e.g., projected energy production, cost savings, carbon credit earnings, or revenue from grid‑services participation) are for illustrative purposes and are not guarantees.

Limitation of Liability. To the maximum extent permitted by law, Ovanova shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any lost profits, revenues, or data arising out of or in connection with the Services, even if advised of the possibility of such damages. In no event shall Ovanova’s total liability arising from or related to the Services exceed the amount you paid to Ovanova under the applicable agreement during the twelve (12) months preceding the claim. These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.

Indemnification. You agree to indemnify, defend, and hold harmless Ovanova, its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising out of your use of the Services, your breach of these Terms or any Product‑Specific Agreement, or your violation of any law or third‑party rights.
7 — Dispute Resolution and Governing Law

Governing Law. These Terms and any disputes arising out of or relating to the Services are governed by the laws of the State of North Carolina, USA, without regard to its conflict‑of‑law principles. If you use the Services from another country, you are responsible for complying with local laws to the extent they apply.

Dispute Resolution. The parties agree to attempt in good faith to resolve any dispute informally. If a dispute is not resolved within thirty (30) days, it shall be resolved exclusively by binding arbitration administered by the American Arbitration Association in North Carolina, unless another arbitration forum is mutually agreed upon. The arbitrator’s decision will be final and binding. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual‑property rights or to prevent unauthorized use of confidential information.

Class‑Action Waiver. You and Ovanova agree to bring claims only in your individual capacities and not as plaintiffs or class members in any purported class action, collective action, or representative proceeding.
8 — Modifications
Ovanova may modify or discontinue the Services, modify these Terms, or introduce additional policies at any time. We will post updated Terms on our website and revise the “Last updated” date. Changes become effective upon posting. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
